Please read these terms carefully before using our website or engaging our services.
Welcome to Romibu Digital Solutions. These Terms and Conditions govern your use of our website, products, and services, including but not limited to software development, graphic design, cyber security, and ICT consultancy services. By accessing this website or engaging with our services, you agree to be bound by these terms. If you do not agree with any part of these Terms and Conditions, please do not use our website or services.
1. Definitions
In these Terms and Conditions, “Company,” “we,” “our,” and “us” refer to Romibu Digital Solutions. “User,” “client,” and “you” refer to any person, business, or entity accessing our website or using our services. “Services” refers to all professional solutions offered by Romibu Digital Solutions, including software development, graphics design, cyber security, and ICT consultancy.
2. Use of the Website
By using this website, you agree to do so only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit the use of the website by any third party. You must not misuse this website by knowingly introducing malicious code, attempting unauthorized access, disrupting site functionality, or using the website for fraudulent or harmful activities. We reserve the right to suspend or block access where misuse is suspected.
3. Services Provided
Romibu Digital Solutions provides professional digital and technology services, including custom software development, graphic design and branding, cyber security support, and ICT consultancy. The scope, timeline, deliverables, and costs of any service will be clearly outlined in a separate quotation, proposal, agreement, or statement of work issued to the client. All services are subject to availability, project requirements, and mutual agreement between both parties.
4. Client Responsibilities
Clients are responsible for providing accurate project requirements, necessary content, timely feedback, approvals, and any materials needed for successful project delivery. Delays in communication, approvals, or provision of required resources may affect project timelines and delivery schedules. The client is also responsible for ensuring that any materials supplied to us do not infringe third-party rights or violate applicable laws.
5. Quotations, Pricing, and Payments
All quotations and pricing issued by Romibu Digital Solutions are subject to confirmation based on the final scope of work, project requirements, and client specifications. Unless otherwise agreed in writing, a non-refundable upfront payment of 60% of the agreed total project cost is required before the commencement of any work. The remaining 40% shall be payable in accordance with agreed milestones, upon completion, or before final handover of the project, depending on the terms set out in the project agreement. Any delay or failure in payment may result in suspension of services, delayed project timelines, or withholding of deliverables, source files, deployment, or system access until all outstanding amounts have been settled in full. Any additional services or revisions outside the originally approved scope of work may be billed separately upon client approval.
6. Revisions and Scope Changes
We aim to deliver high-quality work that meets the agreed objectives of each project. Reasonable revisions may be included where specified in the project agreement. However, major changes, repeated redesign requests, or additions beyond the original scope will be treated as scope changes and may require a revised quotation, timeline adjustment, or separate agreement. Clear communication and written approval will guide any such changes.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all intellectual property rights in concepts, drafts, source files, code, graphics, designs, documentation, and other materials created by Romibu Digital Solutions remain our property until full payment has been received. Upon full settlement of the agreed project fees, the client will receive the rights to the final approved deliverables, excluding any third-party tools, frameworks, plugins, stock assets, or licensed resources used in the project unless specifically transferred or licensed separately.
8. Third-Party Services and Tools
Our services may involve the use of third-party tools, libraries, hosting platforms, APIs, payment gateways, domain registrars, plugins, or software integrations. While we make reasonable efforts to choose reliable technologies, we do not control third-party services and are not liable for their downtime, pricing changes, policy changes, service interruptions, or security incidents. Clients may also be required to comply with the terms of such third-party providers.
9. Confidentiality
Romibu Digital Solutions respects the confidentiality of client information and project materials. We will take reasonable steps to protect non-public business information shared with us during the course of a project. Similarly, clients agree not to disclose our confidential methods, proposals, pricing, technical processes, or proprietary business information without prior written consent, except where disclosure is required by law.
10. Cyber Security and Risk Notice
While we may provide cyber security guidance, protective implementations, and best-practice recommendations, no digital system can be guaranteed to be completely secure. Clients acknowledge that cyber threats evolve over time and that maintaining security requires continuous monitoring, updates, access control, user awareness, and responsible operational practices. We are not liable for losses caused by client negligence, weak passwords, failure to apply updates, misuse of systems, or attacks beyond the reasonable scope of our service engagement.
11. Limitation of Liability
To the fullest extent permitted by law, Romibu Digital Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website or services. This includes, but is not limited to, loss of profits, data loss, business interruption, delays, or reputational damage. Our total liability for any claim relating to a specific service shall not exceed the amount actually paid by the client for that service, unless otherwise required by applicable law.
12. Warranties and Disclaimers
Our website and services are provided on an “as is” and “as available” basis unless otherwise stated in a formal agreement. We do not guarantee that the website will always be uninterrupted, error-free, or free from harmful components. Although we strive for accuracy and professional quality in all our work, we make no blanket warranty that every service or deliverable will meet every possible expectation unless explicitly agreed in writing.
13. Termination
We reserve the right to suspend or terminate access to our website or services if a user violates these Terms and Conditions, engages in unlawful activity, abuses our staff or systems, or fails to meet agreed obligations such as payments or required cooperation. Clients may also terminate a project in writing, but any work completed up to the date of termination, including time spent, expenses incurred, or milestones achieved, may still be billable.
14. Privacy
Your use of our website and services may also be subject to our Privacy Policy, which explains how we collect, use, and protect personal data.
